By using our Google Business Profile management services, you agree to comply with and be bound by the following Terms of Service. These terms outline the rights and responsibilities of both you (the “Client”) and GBP Policy Experts (the “Service Provider”) in relation to the services provided. If you do not agree to these terms, you should not use our services.
1. Service Agreement
We, GBP Policy Experts, agree to provide you with professional Google Business Profile management services, including but not limited to profile creation, optimization, content management, review management, performance tracking, and other related services as described in our service proposal or agreement.
We will perform these services with reasonable care, skill, and expertise, in accordance with the best practices of the digital marketing industry. The scope and nature of the services will be outlined in the agreement between you and us.
2. Client Responsibilities
As our client, you agree to:
- Provide Accurate Business Information: You are responsible for providing up-to-date, accurate, and complete business details, including business name, address, phone number, hours of operation, products and services offered, and any other information necessary for the creation and optimization of your Google Business Profile.
- Cooperate and Communicate in a Timely Manner: You agree to promptly respond to any requests or communications from us. This includes providing requested documents, content, approvals, and any additional information needed to complete your Google Business Profile or ongoing updates.
- Adhere to Google’s Policies: You agree to comply with Google’s Terms of Service and Business Profile Policies, which govern the use of Google Business Profiles. Any violation of Google’s terms may lead to suspension or removal of your profile, for which GBP Policy Experts is not responsible.
3. Intellectual Property
- Ownership of Materials: All content, images, videos, descriptions, or other materials we create for your Google Business Profile as part of our service remain the intellectual property of GBP Policy Experts unless otherwise specified. This includes any marketing content, reports, and optimization strategies.
- License to Use: We grant you a non-exclusive, non-transferable license to use the materials created for your Google Business Profile solely for the purpose of promoting your business on Google and related platforms.
- Third-Party Content: If any third-party content (such as stock images or licensed software) is used in connection with your profile, we will ensure that you have the appropriate rights to use that content.
4. Confidentiality
We are committed to protecting the confidentiality of your business information. GBP Policy Experts agrees to:
- Confidential Information: Treat all information you provide to us as confidential, including proprietary business information, client data, financial records, and other sensitive details.
- Exceptions: We may disclose your information if required by law or as necessary to deliver the services outlined in this agreement (e.g., sharing information with trusted third-party service providers who assist us in delivering services).
- Data Security: We employ industry-standard security measures to protect your data and ensure its confidentiality during processing and storage.
5. Limitation of Liability
To the fullest extent permitted by applicable law, GBP Policy Experts will not be liable for any:
- Indirect, Incidental, or Consequential Damages: We are not liable for any loss of revenue, business interruption, loss of data, or other indirect damages resulting from the use of our services.
- Errors in Information: We are not liable for any inaccuracies in the data provided by you, nor for any consequences arising from such inaccuracies. It is your responsibility to verify the accuracy of your business information.
- Third-Party Services: We are not liable for any issues arising from third-party platforms (such as Google) that may affect the visibility or status of your Google Business Profile.
Our liability is limited to the total amount paid by you for the specific services rendered under this agreement, provided such damages arise directly from our negligence or breach of this agreement.
6. Termination of Agreement
Either party may terminate this agreement under the following conditions:
- For Convenience: Either you or GBP Policy Experts may terminate the agreement at any time by providing written notice at least 30 days in advance. Upon termination, we will cease providing services, and you will be responsible for any outstanding payments for services rendered up until the termination date.
- For Cause: Either party may terminate this agreement immediately if the other party breaches any material term or condition of this agreement, provided that the breach is not cured within 15 days after written notice of the breach.
- Post-Termination: Upon termination, GBP Policy Experts will cease any ongoing optimization, maintenance, or other services for your Google Business Profile. You will retain ownership of your Google Business Profile, and it will remain under your control. We will also return or securely destroy any data related to your account, subject to legal retention requirements.
7. Indemnification
You agree to indemnify, defend, and hold harmless GBP Policy Experts, its employees, agents, and affiliates from and against any claims, damages, liabilities, losses, or expenses (including attorney’s fees) arising out of or relating to:
- Your Content: Any content or materials you provide to us for inclusion on your Google Business Profile.
- Violation of Google’s Policies: Any violations of Google’s policies, terms, or guidelines that result in the suspension or removal of your Google Business Profile.
- Your Breach of Terms: Any breach of the terms of this agreement by you or your representatives.
8. Dispute Resolution
In the event of a dispute, we will attempt to resolve the matter through informal negotiations. If a resolution cannot be reached, the dispute will be submitted to mediation or binding arbitration in accordance with the laws of the state or country where GBP Policy Experts is registered.
9. Governing Law
This agreement shall be governed by and construed in accordance with the laws of the state, without regard to its conflict of law principles.
10. Miscellaneous
- Force Majeure: Neither party will be liable for failure or delay in the performance of its obligations under this agreement if such failure or delay is caused by events beyond its reasonable control, such as natural disasters, strikes, or technological failures.
- Entire Agreement: This document constitutes the entire agreement between you and GBP Policy Experts with respect to the Google Business Profile management services and supersedes any prior agreements or understandings, whether written or oral.
- Modifications: We reserve the right to modify these Terms of Service at any time. Any modifications will be posted on our website, and such modifications will be effective immediately upon posting.
